Vidoris Terms and Conditions

Effective Date: 1st January, 2026

Last Updated: 14th October, 2026

Please read these Terms and Conditions ("Terms") carefully before accessing or using the Vidoris corporate website, enterprise platform, and the Foresia application (collectively, the "Service") operated by Vidoris Inc. ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, please refrain from using the Service.

1. Platform Access & Role-Based Authorization

1.1 Enterprise & Clinical Restricted Use

The Foresia application and Vidoris platform are exclusively available to contracted healthcare institutions ("Health Systems") and their authorized clinical and administrative personnel. Public or self-registered user account creation is strictly prohibited.

1.2 Account Management & Provisioning

Access permissions, role designations, and unit assignments are provisioned centrally by the Health System's administrative team or EHR directory integration. Individual staff members cannot create, transfer, or delete accounts independently.

2. Clinical Data & Ownership

2.1 Operational Purpose

The platform processes staff and clinical data strictly for operational workflows, real-time risk alerting, Rapid Response Team (RRT) escalation, and quality improvement documentation.

2.2 Health System Data Ownership

All patient records, clinical observations, and Electronic Health Record (EHR) data synchronized via HL7 / FHIR R4 interfaces remain the exclusive property of the contracting Health System. Vidoris processes patient information solely as a Data Processor / Service Provider under an executed Business Associate Agreement (BAA).

3. Security, Interoperability, & Privacy

3.1 Regulatory Compliance

Vidoris complies with applicable data privacy laws and healthcare standards, including HIPAA, PIPEDA, GDPR, and relevant regional health information privacy regulations.

3.2 Security Standards

We implement technical and administrative safeguards, including end-to-end encryption in transit (TLS 1.3) and at rest (AES-256), patient identifier hashing, Role-Based Access Controls (RBAC), and continuous audit logging.

4. No Medical Advice / Clinical Decision Support

The Service provides AI-assisted clinical decision support, trend analytics, and automated alerting pathways to assist care teams. The Service does not make automated medical diagnoses or replace clinical judgment.

The system surfaces alerts and potential risk factors; final clinical assessment, escalation decisions, medication orders, and patient care interventions rest solely with qualified healthcare professionals and attending physicians.

5. Intellectual Property

All rights, titles, and interests in and to the Vidoris platform, Foresia application, software algorithms, UI designs, and proprietary documentation are owned exclusively by Vidoris Inc. Authorized users may not copy, reverse engineer, modify, or distribute any part of the Service without prior written authorization.

6. Limitation of Liability

Vidoris Inc. provides workflow support and clinical risk detection tools. Vidoris is not responsible for individual clinical outcomes, treatment delays outside platform controls, or hospital protocol non-compliance. Outcomes depend on health system workflows, clinical execution, and institutional readiness.

7. Updates to Terms

We reserve the right to update these Terms periodically to reflect product updates, regulatory shifts, or operational changes. Material updates will be communicated to hospital administrators and published on the platform. Continued use of the Service following notification constitutes acceptance of the revised Terms.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
